These Terms and Conditions ("Terms") govern your access to and use of the Adventure OEM platform and servers (the "Platform"), including all related websites, services, features, tools, applications, and modules (collectively, the "Services"). By accessing and/or using the Services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the Services.
Adventure OEM ("Adventure OEM," "we," "us," or "our") reserves the right to update, modify, or replace any part of these Terms at any time. This page will always contain the most recent version. Continued use of the Services after changes are posted constitutes your acceptance of any and all revisions in full.
You must be at least 18 years of age, or the age of majority in your jurisdiction, and capable of entering into a legally-binding agreement to use the Services. If you use the Services on behalf of a business or organization, you confirm that you have the authority to bind that entity to these Terms. By using the Services, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.
Adventure OEM provides e-commerce management software and services to you, a third-party vendor. Adventure OEM may offer design, manufacturing, fulfillment, management, hosting, and other services (collectively, "Partner Services") to certain vendors ("Partners"). Partner Services are provided under a separate agreement which may contain additional terms and conditions that apply.
Adventure OEM may modify, suspend, discontinue, or update any aspect of the Platform or the Services at any time without liability. Adventure OEM is not a party to any transaction between you and your customers, including those hosted on the Platform.
To access certain features, you may be required to create an account. You agree to:
You are responsible for all activity that occurs under your account. Adventure OEM reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, illegal, or abusive conduct.
Certain Platform features require a paid subscription. Fees are billed in advance on a recurring basis according to the selected plan. You authorize Adventure OEM and its payment processors to charge your selected payment method for all applicable fees, taxes, shipping charges, production charges, and other amounts incurred through your account.

Failure to pay may result in suspension or termination of services.
You are solely responsible for ensuring that product listings, descriptions, images, and pricing are accurate, truthful, and compliant with applicable laws and regulations. Adventure OEM does not verify or guarantee the accuracy or completeness of listings displayed using the Platform.
You acknowledge and agree that:
Adventure OEM is not a bank, payment processor, money transmitter, or financial institution and does not independently process or store full payment card information except as necessary to facilitate Platform functionality. Adventure OEM does not guarantee the availability, performance, security, or continued operation of any third-party payment provider and shall not be liable for payment failures, processor outages, chargebacks, fraud, declined transactions, delayed settlements, banking errors, or unauthorized transactions.
Adventure OEM reserves the right to suspend order processing, production, fulfillment, and/or access to the Services for unpaid balances, suspected fraud, chargeback abuse, or violations of these Terms. Payments for the Services non-refundable except as expressly stated in an applicable written agreement or required by law.
You are solely responsible for refunding customer charges, accepting customer returns, and processing order cancellations under your own terms and at your own discretion. Adventure OEM is not responsible for return shipments, including those originally producted and/or fulfilled by Adventure OEM on behalf of its Partners except as expressly stated in an applicable written agreement.
Your are responsible for all applicable taxes related to the production and sale of your products. Adventure OEM may collect and remit taxes as required by law but is not responsible for ensuring your compliance with local, state, and federal tax obligations.
The Adventure OEM Platform may allow you to communicate directly with your customers through email and other messaging systems. Users agree not to use the Platform's messaging or communication services for:
Adventure OEM reserves the right to monitor and remove messages that violate these Terms or applicable law, as well as the right to take action and enforce repercussions up to and including account termination.
You agree not to use the Platform or Services to:
Adventure OEM reserves the right to suspend access or terminate accounts for violations of this section.
The Adventure OEM Platform and Services are provided on an "as is" and "as available" basis. You are solely responsible for maintaining independent backups of your business data, customer data, product information, and records. Adventure OEM makes no representations or warranties of any kind, express or implied, regarding the accuracy, reliability, or availability of the Platform or Services.
We do not guarantee:
Adventure OEM expressly disclaims all warranties, including but not limited to data loss, corruption, authorized access, downtime, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, Adventure OEM, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages related to your use of the Platform or the Services or any transaction conducted through the Platform. This includes, but is not limited to:
You agree to indemnify, defend, and hold harmless Adventure OEM and its affiliates from and against any and all claims, damages, losses, or expenses arising from the availability, condition, or use of the Services, violation of these Terms, or infringement of any third-party rights. This includes, but is not limited to:
Adventure OEM Platform and Services, including all software, interfaces, branding, graphics, workflows, databases, and related technology, is owned by Adventure OEM or its licensors and protected by intellectual property laws. Except for limited rights expressly granted under these Terms, no rights are transferred to you. You may not copy, modify, distribute, resell, reverse engineer, or create derivative works from the Platform or the Services without express written permission.
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Florida, without regard to its conflict of laws principles. Any dispute arising under these Terms shall be resolved through binding arbitration in Florida, except where prohibited by law. You agree to waive any right to participate in class actions.
Adventure OEM reserves the right to suspend or terminate your account, with or without notice, if required by law, if fees remain unpaid, or for conduct that violates these Terms or is otherwise harmful to Adventure OEM, the Platform, the Services, or other users. Upon termination, your right to use the Platform and the Services immediately ceases. Sections intended to survive termination shall remain in effect, including intellectual property provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
